Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "user") and BAYYIN AI ("we", "us"). By creating an account or using the service, you accept these Terms.

These Terms are governed by the laws of the Kingdom of Saudi Arabia. The Saudi commercial courts in Riyadh have exclusive jurisdiction over any dispute that cannot be resolved amicably.

1. The Service

The Service is an AI-assisted consultation platform that:

• Hosts conversational agents (text and voice) grounded in knowledge bases the operator uploads
• Provides admin tools for managing agents, knowledge collections, and user accounts
• Delivers responses generated by third-party large language models (LLMs)

The Service is informational only. It is not a substitute for licensed professional advice (medical, legal, financial, etc.). Always verify critical information with a qualified human professional.

2. Eligibility

You must be:

• At least 13 years old (with parental consent if under 18 in your jurisdiction)
• Legally capable of entering into a binding contract under the laws of your country

If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3. Your account

You agree to:

• Provide accurate and current registration information
• Protect your password and 2FA device
• Notify us immediately of any unauthorised use of your account
• Take responsibility for activity that occurs under your account

We may suspend or terminate your account if:

• You provide false information at registration
• You violate these Terms, the Acceptable Use Policy (§4), or applicable law
• Your account is inactive for more than 12 months
• We are required to do so by court order or regulator

4. Acceptable Use Policy

You may not use the Service to:

• Violate any law, including the Saudi Anti-Cyber Crime Law (Royal Decree M/17 of 8/3/1428H)
• Generate, store, or distribute illegal content — including but not limited to content that promotes violence, terrorism, child sexual abuse material, or harms public morals
• Impersonate any person or organisation
• Send spam, phishing, or unsolicited bulk messages
• Attempt to reverse-engineer the Service, bypass rate limits, or extract LLM weights / system prompts
• Submit Personal Data of others without their consent
• Use the Service to provide regulated professional services to consumers without the appropriate licenses (e.g. legal advice without a Saudi Bar license, medical advice without an MoH license)
• Submit content that infringes intellectual property rights of third parties
• Use the Service to train competing AI models

We may remove content, suspend accounts, and notify authorities when we detect violations.

6. Fees, billing, and refunds

• Prices are in USD unless stated otherwise. VAT is added per Saudi tax law for invoicing inside KSA.
• We may change prices with 30 days notice. Existing paid periods are honoured at the old rate.
• Refunds are not provided for partial periods, except where required by Saudi consumer protection law.

7. AI-generated content disclaimer

LLMs can produce inaccurate, biased, or fabricated statements ("hallucinations"). You acknowledge that:

• Responses are not guaranteed to be accurate, complete, or current
• The Service is not a substitute for professional advice
• You will independently verify any decision-relevant output
• We are not liable for actions you take based on AI-generated content

For consultation agents on sensitive topics (medical, legal, financial), the system displays a disclaimer at session start. Acknowledging this disclaimer is part of accepting these Terms.

8. Service availability

We target 99.5% monthly uptime but do not guarantee uninterrupted access. We may schedule maintenance windows with prior notice via in-app banner.

We are not liable for downtime caused by:

• Third-party sub-processor outages (OpenAI, LiveKit, etc.)
• Force majeure (natural disasters, war, regulator action)
• Your network or device

9. Limitation of liability

To the maximum extent permitted by Saudi law:

• Total cumulative liability under these Terms is capped at the fees you paid us in the 12 months preceding the claim, or SAR 1,000 if you are on a free plan
• We are not liable for indirect, consequential, incidental, special, or punitive damages — including loss of profits, data, or business opportunity
• Nothing in these Terms limits liability that cannot lawfully be limited under Saudi law (e.g. gross negligence, fraud, death or personal injury caused by our negligence)

10. Indemnification

You agree to indemnify us against claims, losses, and expenses arising out of:

• Your breach of these Terms or the Acceptable Use Policy
• Your content (including infringement of third-party rights)
• Your use of the Service in violation of law

11. Changes to these Terms

We may update these Terms. Material changes will be notified at least 30 days in advance via email and in-app banner. Continued use after the effective date constitutes acceptance.

12. Termination

You may terminate at any time by deleting your account. We may terminate for cause as described in §3 and §4.

Upon termination:

• Your access ends immediately
• Your data is retained per the Privacy Policy §5 retention table
• Sections that by their nature should survive (ownership, indemnity, liability limits, governing law) survive termination

13. Governing law and disputes

These Terms are governed by Saudi law. The parties shall attempt to resolve any dispute amicably for 30 days before commencing formal proceedings. If unresolved, the Saudi commercial courts in Riyadh have exclusive jurisdiction.
